Terms of Service

1. Agreement
These Terms of Service (the "Terms") form a binding agreement between you and Paceout ("Paceout", "we", "us"). They govern your access to and use of the Paceout mobile app, website, and related services (together, the "Service"). By creating an account, tapping "I agree" during signup, or using any part of the Service, you accept these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and a resident of the United States to create an account. You confirm at signup that you meet these requirements. If we learn that an account belongs to someone under 18, we will close it. You may not use the Service if you have been previously suspended, are barred from receiving services under U.S. law, or are using the Service in a jurisdiction where it is unlawful.
2a. Service available in the United States only
The Service is offered only to residents of the United States, and the mobile app is available only on the U.S. App Store. We do not market or offer the Service to residents of the European Union, the United Kingdom, or other jurisdictions. If you access the Service from outside the United States, you do so at your own risk and on your own initiative, and you remain responsible for compliance with local law. We may block access from outside the United States at any time.
3. Your account
Your account is identified by your phone number, which we verify by SMS. You are responsible for keeping your phone number, password (where applicable), and account secure. Tell us immediately at support@paceout.app if you suspect unauthorized access. You may not transfer your account, share your login, or impersonate another person. One person, one account.
4. Your content
You retain ownership of any content you post — including photos, club descriptions, run descriptions, comments, bios, and announcements (together, "Your Content"). By posting Your Content, you grant Paceout a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute Your Content for the limited purpose of operating, promoting, and improving the Service. This license ends when you delete the content, except for backups and where retention is required by law. You represent that you have all rights necessary to post Your Content and that it does not violate anyone else's rights.
5. Acceptable use
You agree not to:
• Harass, threaten, stalk, dox, or intimidate any user.
• Post content that is unlawful, hateful, defamatory, sexually explicit, or that depicts minors in an inappropriate way.
• Impersonate any person, organization, or running club.
• Use the Service to coordinate illegal activity or to evade a previous ban or suspension.
• Scrape, index, or extract data from the Service except as our public API allows.
• Reverse-engineer, decompile, or attempt to derive source code from the Service.
• Submit fake RSVPs, spam clubs or runs, or manipulate counts and rankings.
• Post sexual or romantic solicitation, multi-level-marketing pitches, or commercial spam.
• Use Paceout to recruit for, advertise, or organize commercial races, products, or services without our written permission.
We may remove content or suspend accounts that violate these rules. Repeated or severe violations result in permanent account closure.
6. Hosts and clubs
Anyone can create a club and host runs. Club hosts are responsible for:
• Setting an accurate club description, location, pace expectations, and meeting point.
• Approving members in good faith and not using membership rules to discriminate against anyone in a way that violates U.S. or local law.
• Following local laws, venue rules, park permits, and traffic regulations during runs.
• Cancelling or pausing runs when weather, terrain, or other conditions make running unsafe.
• Responding to safety concerns raised by members in a reasonable timeframe.
Hosts are independent organizers, not employees, agents, or contractors of Paceout. Paceout is not a party to runs you host or attend and is not responsible for what happens at them.
7. Women-only and identity-restricted spaces
Some clubs and runs are designated as women-only or otherwise restricted to a specific identity group. Joining or hosting such a space requires that you in good faith identify in the manner the host has specified. Misrepresenting your identity to access a restricted space is a violation of these Terms and may result in suspension.
8. Subscriptions and payments
Paceout is free to use for runners. Hosts may subscribe to Paceout Pro for additional features. Subscriptions:
• Are billed in advance through the Apple App Store or Google Play, and renew automatically until you cancel.
• Are managed through your platform account (App Store or Google Play). You can cancel anytime from your platform's subscription settings.
• Are subject to refund rules of the platform you purchased through. We do not issue separate refunds for App Store or Google Play purchases.
We may change subscription pricing or features. Material changes take effect at the next renewal, and you can cancel before that renewal to avoid the new price. We may offer free trials, promotional credits, or referral rewards from time to time, each with its own terms.
9. Third-party services
The Service uses third-party providers (for example, Twilio for SMS verification, Mapbox for maps, OneSignal for push notifications, PostHog for analytics, Sentry for error reporting, and — when you opt in — Strava for activity verification). Your use of these features is also subject to those providers' terms. We are not responsible for third-party services. Disconnecting them where supported is your choice; the Service may not work as intended without them.
10. Reports, safety, and moderation
If you see content or behavior that breaks these Terms or makes you feel unsafe, report it from the run, profile, or club. We review reports and may remove content or suspend accounts. We rely on user reports and limited automated tools — we do not pre-screen all content. We do not guarantee that we will remove every reported item. Severe safety threats should also be reported to local emergency services.
11. Termination
You may delete your account from Settings → Account at any time. Deletion soft-removes your profile immediately and hard-deletes your account and most associated data within 30 days, except where we are required to keep it longer (for example, financial records, abuse-prevention logs). We may suspend or terminate your account, with or without notice, for violations of these Terms, repeated user complaints, suspected fraud or abuse, or where required by law. Sections that by their nature should survive termination (for example, Disclaimers, Limitation of Liability, Disputes) survive.
12. Disclaimers — running carries risk
Running involves risk of injury, including from terrain, traffic, weather, other runners, and your own physical condition. You are solely responsible for evaluating whether a run is appropriate for your fitness, health, and skill, and for following safe-running practices. The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy of information, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components. We make no warranty about the conduct of any user, host, or third party you encounter through the Service.
13. Limitation of liability
To the maximum extent permitted by law, Paceout, its officers, employees, and partners are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, data, goodwill, or other intangibles — arising out of or relating to your use of the Service, even if we were advised of the possibility. In any case, our total aggregate liability for all claims arising from or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) one hundred U.S. dollars (USD $100). Some jurisdictions do not allow exclusions or limits on certain damages; in those places these limits apply only to the extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Paceout and its officers, employees, agents, and partners from any third-party claim, demand, or damages — including reasonable attorneys' fees — arising out of (a) your violation of these Terms, (b) Your Content, (c) your use of the Service, (d) your conduct at any run organized through the Service, or (e) your violation of any law or third-party right.
15. Disputes — arbitration and class waiver
You and Paceout agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco, California, or by phone or video where reasonable. Either party may seek injunctive relief in court for intellectual property infringement or unauthorized use. YOU AND PACEOUT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING CLAIMS AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Small-claims-court actions are exempt from arbitration. You may opt out of this arbitration provision by emailing arbitration@paceout.app within 30 days of first accepting these Terms; an opt-out has no effect on any other part of these Terms.
16. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration, you and Paceout consent to the exclusive jurisdiction of the state and federal courts in San Francisco County, California.
17. Changes to these Terms
We may update these Terms. If a change is material, we will notify you in-app at least 7 days before it takes effect, and where the law requires, we will ask you to re-accept. Continued use of the Service after the effective date of an updated version means you accept the changes. The current version and effective date are at the top of this page.
18. Miscellaneous
These Terms are the entire agreement between you and Paceout about the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent by in-app message, push, or email; notices to us must be sent to support@paceout.app.
